Customers remain responsible for their products, listing accuracy, pricing decisions, inventory settings, order fulfillment, marketplace compliance, and use of third-party services.

Eligibility and Account Registration

You must provide accurate and current information when registering for an account and keep that information up to date.

You represent that:

  • • You are legally able to enter into this Agreement.
  • • If you register on behalf of a company or other organization, you are authorized to bind that organization to this Agreement.
  • • You will use the Services for legitimate business purposes and in accordance with applicable laws.
  • • You will not create an account using false information or impersonate another person or organization.

We may request reasonable information to verify an account, investigate suspected misuse, or protect the Services.

Account Security and Authorized Users

You are responsible for safeguarding your account credentials and for activities performed through your account, except to the extent caused by our own breach of applicable obligations.

You agree to:

  • • Keep passwords and authentication credentials confidential.
  • • Limit account access to authorized individuals.
  • • Use appropriate security measures and promptly remove access for former employees or other unauthorized users.
  • • Notify eSellerBot promptly if you suspect unauthorized access, credential compromise, or misuse of your account.
  • • Ensure that employees, contractors, and other authorized users comply with this Agreement.

You must not share credentials in an insecure manner, attempt to bypass authentication or access controls, or access accounts or data without authorization.

Third-Party Accounts and Integrations

Use of a third-party marketplace, supplier, storefront, accounting service, or other integration may require a separate account, authorization, license, or agreement.

You authorize eSellerBot to access and process the information necessary to provide integrations that you connect or expressly authorize, subject to the applicable configuration and permissions.

You are responsible for:

  • • Maintaining your third-party accounts in good standing.
  • • Providing valid and properly authorized integration permissions.
  • • Complying with third-party terms, policies, API requirements, and usage limits.
  • • Reviewing permissions granted to eSellerBot and revoking them when no longer needed.
  • • Maintaining any required licenses or approvals.

Third-party services are operated independently of eSellerBot. We do not control their availability, decisions, policies, fees, API changes, suspensions, or discontinuation. Such changes may affect the functionality of an integration.

eSellerBot does not guarantee that a third-party marketplace will approve, maintain, or reinstate any Customer account, listing, or product.

Customer Responsibilities and Legal Compliance

You are responsible for your business activities and for the products, listings, data, communications, prices, and orders managed through your account.

You agree to comply with all applicable laws, regulations, marketplace policies, supplier agreements, and contractual obligations, including those relating to consumer protection, product safety, intellectual property, privacy, data protection, advertising, taxes, export controls, and electronic communications.

You must not use eSellerBot to:

  • • List, market, distribute, or sell illegal or prohibited products.
  • • Sell counterfeit goods or infringe another party's trademarks, copyrights, patents, or other rights.
  • • Circumvent marketplace restrictions, account suspensions, listing controls, or enforcement measures.
  • • Generate fraudulent transactions, false reviews, deceptive listings, or misleading product claims.

  • • Upload malware or attempt to compromise the platform or other users.
  • • Interfere with the security, availability, or proper operation of the Services.
  • • Use the Services in a manner that violates a third-party agreement or applicable law.

We may investigate credible reports of misuse and take reasonable action, including restricting affected features or suspending an account where appropriate.

Customer Content and Data

“Customer Content” means product data, images, descriptions, catalog records, supplier information, order information, settings, and other information that you or your authorized users submit to or process through the Services.

As between you and eSellerBot, you retain your rights in Customer Content, subject to any rights belonging to third parties.

You grant eSellerBot a limited, non-exclusive right to host, transmit, reproduce, transform, and process Customer Content as reasonably necessary to provide, maintain, secure, and support the Services, carry out your instructions, and meet applicable legal obligations.

You represent that you have the rights and permissions needed to provide Customer Content and authorize the processing described in this Agreement.

You must not submit data that you are not authorized to disclose or process. You are responsible for ensuring that your use of personal information and third-party data is lawful.

We handle personal information in accordance with our Privacy Policy, available through the eSellerBot website. The Privacy Policy should be read together with this Agreement.

Where the Services process personal information on your behalf, any required data processing terms should be agreed separately where applicable.

Security and Data Handling

eSellerBot will maintain security measures appropriate to the Services and applicable contractual obligations. No website, application, or electronic storage system can be guaranteed to be completely secure.

You are responsible for securing your own devices, user accounts, integration credentials, and third-party systems, and for configuring available permissions appropriately.

You must promptly notify eSellerBot if you become aware of a security incident involving your account or information processed through the Services.

eSellerBot may investigate security incidents and take reasonable steps to protect Customers, data, and the platform, including temporarily restricting access where necessary.

Specific security commitments, certifications, encryption standards, or service levels apply only to the extent expressly documented in an applicable written agreement or published security statement.

Subscription Plans, Fees, and Payment

Access to certain Services may require a paid subscription or payment for implementation, custom development, or other services.

The applicable subscription, fees, billing cycle, included features, usage limits, renewal terms, and payment conditions will be disclosed at signup, in an order form, on the applicable pricing page, or in a separate written agreement.

You agree to pay the fees applicable to your subscription and any authorized additional services.

Unless the applicable plan or written agreement states otherwise:

  • • Fees are exclusive of applicable taxes.
  • • You are responsible for keeping billing information accurate.
  • • Additional services or usage beyond the included plan may incur additional charges if disclosed and agreed.
  • • Payment disputes should be raised promptly through the designated support channel.

Cancellation, refunds, credits, renewals, and price changes are governed by the applicable subscription terms and mandatory law. Nothing in this Agreement removes rights that cannot legally be waived.

Service Availability and Changes

We may update, improve, modify, or discontinue portions of the Services as the platform evolves, including changes required by third-party integrations, security needs, legal obligations, or technical limitations.

We will use reasonable efforts to address material disruptions in accordance with any applicable service commitments. We do not guarantee uninterrupted or error-free operation unless expressly agreed in writing.

We may temporarily restrict access for maintenance, security incidents, technical issues, or circumstances beyond our reasonable control.

Where a material change affects a paid service, any notice, refund, or termination rights will be governed by the applicable subscription terms and law.

Intellectual Property

The eSellerBot name, branding, software, platform design, documentation, and other materials owned by eSellerBot or its licensors are protected by applicable intellectual property laws.

Subject to this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your authorized business purposes during the applicable subscription term.

Except as permitted by law or expressly authorized in writing, you may not:

  • • Copy, resell, sublicense, or commercially exploit the Services outside your authorized use.
  • • Reverse engineer, decompile, or attempt to extract source code, except where such restriction is prohibited by law.
  • • Remove proprietary notices or misrepresent ownership of the platform.
  • • Use eSellerBot branding in a misleading manner.

You retain ownership of your Customer Content, and third-party intellectual property remains the property of its respective owners.

Confidentiality

Each party may receive non-public business, technical, financial, or operational information from the other party.

The receiving party agrees to use reasonable measures to protect confidential information and to use it only for purposes connected with the Services or the parties' business relationship.

Confidential information does not include information that is publicly available without breach, independently developed without use of the confidential information, or lawfully received from another source without a duty of confidentiality.

A party may disclose information where required by law, subject to any legally permitted notice obligations.

Suspension and Termination

You may discontinue use of the Services and cancel your subscription in accordance with the applicable subscription terms.

We may suspend or restrict access, or terminate this Agreement where permitted by law and the applicable subscription terms, if:

  • • You materially breach this Agreement.
  • • Your use creates a material security, legal, or operational risk.
  • • We reasonably suspect fraud, unauthorized access, or unlawful activity.
  • • A third-party provider withdraws a required integration or authorization.
  • • Payment obligations remain overdue after any applicable notice or cure period.
  • • We are required to do so by law or a competent authority.

Where reasonably practicable, we will provide notice and an opportunity to address a remediable breach before suspension or termination, except where immediate action is reasonably necessary to protect security, comply with law, or prevent harm.

Upon termination, your right to access the affected Services ends. Data export, retention, deletion, and any final charges will be handled under the applicable subscription terms, Privacy Policy, and legal requirements.

Sections that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, outstanding payment obligations, disclaimers, liability, and disputes.

Disclaimers

To the extent permitted by law, the Services are provided on an “as available” basis, subject to the express commitments in any applicable written agreement.

eSellerBot does not guarantee that using the Services will increase sales, improve profit margins, prevent stockouts, eliminate errors, secure marketplace approval, or produce any particular commercial result.

Product information, supplier feeds, inventory data, marketplace responses, pricing information, and third-party integrations may contain errors or experience delays. Customers should review material information and automated actions appropriate to their business.

Nothing in this Agreement excludes any warranty or consumer protection right that cannot legally be excluded.

Limitation of Liability

To the extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or loss of goodwill, arising from the Services or this Agreement.

To the extent permitted by law, each party's total aggregate liability arising out of or relating to this Agreement will be limited to the fees paid or payable by the Customer to eSellerBot for the Services giving rise to the claim during the [12-month period] immediately preceding the event giving rise to liability.

The foregoing limitations do not apply to liability that cannot lawfully be limited or excluded. Any additional exceptions required by law or agreed in a separate written contract will apply.

This section must be reviewed by legal counsel before publication, including the proposed liability cap and any exceptions appropriate for your business.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless eSellerBot, and their respective personnel from third-party claims, liabilities, damages, and reasonable costs arising from:

  • • Your unlawful use of the Services.
  • • Your products, listings, business activities, or Customer Content.
  • • Your infringement or alleged infringement of third-party rights.
  • • Your violation of marketplace terms or other third-party agreements.
  • • Your material breach of this Agreement.

This obligation does not apply to the extent a claim results from conduct for which eSellerBot is legally responsible.

The parties will cooperate reasonably in the defense of covered claims. No settlement imposing liability or obligations on an indemnified party may be made without that party's consent, where required by applicable law.

Changes to This Agreement

We may update this Agreement from time to time to reflect changes in the Services, legal requirements, or business practices.

We will post the updated Agreement on the eSellerBot website and update the “Last Updated” date. Where required by law or where a change materially affects Customers, we will provide appropriate notice and obtain consent if legally required.

Your continued use of the Services after an updated Agreement becomes effective constitutes acceptance where permitted by law. If you do not agree to a material change, you should discontinue use and exercise any applicable cancellation rights.

Governing Law and Disputes

This Agreement is subject to the governing law and dispute-resolution provisions stated in the applicable order form or written agreement.

If no such provisions exist, the parties should insert an agreed governing law, venue, and dispute-resolution procedure before publication. These provisions must be reviewed for enforceability and compliance with applicable law.

Nothing in this section limits rights that cannot lawfully be waived.

General Provisions

Entire agreement. This Agreement, together with the applicable order form, subscription terms, Privacy Policy, and any other expressly incorporated terms, forms the agreement governing your use of the Services.

Severability. If a provision is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.

No waiver. Failure to enforce a provision does not constitute a waiver of the right to enforce it later.

Assignment. You may not assign this Agreement without our prior written consent, except where assignment is permitted by applicable law. eSellerBot may assign this Agreement as part of a merger, restructuring, or transfer of its business, subject to applicable law.

Force majeure. Neither party will be responsible for a delay or failure caused by events beyond its reasonable control, except for payment obligations already due and other obligations that cannot lawfully be excused.

No agency. This Agreement does not create a partnership, joint venture, employment, or agency relationship between the parties.
